Are you following the software upgrade path:

Basically, if you have 2.4(4) through 3.2(2) and want
to upgrade to 4.x for Supervisor Engines I and II

Follow these steps to upgrade to 4.x:

1st Upgrade to release 3.2(4)
then Upgrade to release 4.x.
