I successfully upgraded a 3560-8 port switch from S to E. In 12.2.35 sw cisco introduced a new parameter you need to add if you want to upgrade to a different feature set, see below:
Beginning with Cisco IOS release 12.2(35)SE, you can use the archive download-sw /allow-feature-upgrade privileged EXEC command to allow installation of an image with a different feature set, for example, upgrading from the IP base image to the IP services image. Beginning in this release, you can also use the boot auto-download-sw global configuration command to specify a URL to use to get an image for automatic software upgrades. When you enter this command, the master switch uses this URL in case of a version mismatch.
